End User License Agreement

This End User License Agreement (“EULA”) governs your use of the Moonvine service (“the Service”) operated by North Street Creative, Inc., d/b/a Moonvine. By accessing or using the Service, you agree to this EULA.

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service via the web for your personal or business purposes, subject to these terms and any applicable subscription plan.

Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Sublicense, sell, lease, or otherwise transfer access to the Service
• Use the Service to build a competing product
• Remove or alter any proprietary notices in the Service

Service Availability

The Service is provided via the web and requires an internet connection. We aim to maintain reasonable uptime but do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications to the Service at any time.

Subscription Plans

The Service offers a free tier and paid subscription plans. Paid plans are billed monthly or annually. See our Terms of Service for full subscription, cancellation, and refund details.

Ownership

The Service and all related intellectual property remain the property of North Street Creative, Inc. This EULA does not transfer any ownership rights to you.

No Warranty

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTH STREET CREATIVE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Termination

We may terminate or suspend your access to the Service at any time for violation of this EULA. You may stop using the Service at any time. Upon termination, your license to use the Service ends immediately.

Dispute Resolution

This EULA is governed by the laws of the State of New York. Any disputes shall be resolved in a court of competent jurisdiction in New York County, New York.

YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

Changes

We may update this EULA from time to time. Changes will be posted on this page with an updated date.
